NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING THIS SWEEPSTAKES.
ALL DISPUTES WILL BE RESOLVED SOLELY BY BINDING ARBITRATION AND, EXCEPT WHERE PROHIBITED BY LAW, ENTRANTS WAIVE THE ABILITY TO BRING CLAIMS IN A CLASS ACTION FORMAT.
SPONSOR OBTAINS RIGHTS FROM ALL ENTRANTS TO POST (INCLUDING ONLINE AND IN SOCIAL MEDIA) AND USE ANY AND ALL CONTENT SUBMITTED AS PART OF THE SWEEPSTAKES.
GRAND PRIZE WINNER MUST BE WILLING AND AVAILABLE TO TRAVEL TO ATLANTA, GA, FROM AUGUST 20-25, 2025 OR OTHERWISE FORFEIT HIS/HER RIGHT TO RECEIVE THE GRAND PRIZE TRIP.
BY ENTERING THIS SWEEPSTAKES, YOU AGREE TO THESE OFFICIAL RULES, WHICH ARE A CONTRACT, SO READ THEM CAREFULLY BEFORE ENTERING. WITHOUT LIMITATION, THIS CONTRACT INCLUDES INDEMNITIES TO THE RELEASED PARTIES FROM YOU AND A LIMITATION OF YOUR RIGHTS AND REMEDIES.
ELIGIBILITY: The Mastercard Beyond The Ropes: Swing Like A Pro Sweepstakes (hereafter, "Sweepstakes") is open only to individuals who are: (i)Mastercard cardholders whose account was opened by a Mastercard FI (defined below) prior to 6/20/25, (ii) physically located and permanent legal residents of the fifty (50) United States, including the District of Columbia, and (iii) who have reached the legal age of majority in their state of residence (which is eighteen (18) years of age in most states, but is nineteen (19) in Alabama and Nebraska and twenty-one (21) in Mississippi) before time/date of entry. Void in U.S. Territories, including Guam, Puerto Rico and where prohibited by law. Employees, officers, and directors of Mastercard International Incorporated ("Mastercard" or "Sponsor"), Mastercard customer financial institutions, credit unions, alliances, issuers and processors (collectively, "Mastercard FI"), teamDigital Promotions, Inc. ("Administrator"), and each of their respective parent companies, affiliates, distributors, subsidiaries, prize providers, suppliers of goods/services for the Sweepstakes, advertising/promotion agencies and their immediate family members (i.e., spouses, parents, children, grandparents, grandchildren, siblings and each of their respective spouses) and/or those living in the same household of any of the foregoing (i.e., people who share the same residence at least three (3) months a year, whether legally related or not) are not eligible to enter or win a prize in this Sweepstakes. Sponsor, PGA TOUR Enterprises, LLC and its affiliates, Mastercard FI, Administrator, and each of their respective parents, affiliates, distributors, subsidiaries, prize providers and advertising/promotion agencies are each a "Released Party" and shall hereinafter collectively be referred to as the "Released Parties". Winning a prize is contingent upon fulfilling all requirements set forth herein. This Sweepstakes is in no way sponsored, endorsed or administered by, or associated with, X (formerly known as Twitter), Instagram, TikTok, or YouTube (each, a "Social Media Platform"). You are providing your information to the Sponsor and not to X, Instagram, TikTok, or YouTube. PGA TOUR Enterprises LLC and the TOUR Championship are not sponsors or administrators of the Sweepstakes.
PROMOTION PERIOD: The Sweepstakes begins at 12:00:00 a.m. Eastern Time ("ET") on 6/20/25 and all entries must be received by 11:59:59 p.m. ET on 6/27/25 (hereafter, "Promotion Period").
HOW TO PARTICIPATE: To participate, eligible individuals will be prompted to create a video (no more than thirty (30) seconds in length) using their X, Instagram (excluding Stories), TikTok, or YouTube public-facing account, inclusive of the following hashtags #BeyondTheRopes #MastercardSweepstakes ("Sweepstakes Hashtags") and @mastercard ("Sweepstakes Tag"), and enter as outlined in the "How to Submit Entry" Section below during the Promotion Period. The video must be of yourself fully swinging a golf club and hitting a golf ball. The video AND the entry form shall be collectively referred to hereafter as the "Entry". Video must capture you (as an individual), include the Sweepstakes Hashtags and Sweepstakes Tag (in both the post copy and overlayed on the Video), be no more than thirty (30) seconds in length, and must be current and original (the "Video"). Eligible individuals who submit an Entry and comply with the requirements set forth in these Official Rules are considered an "Eligible Entrant". Video may contain the Eligible Entrant only. NOTE: Consider the entry requirements as you create your Entry. Individuals entering this Sweepstakes will not be deemed to have entered if they only post their Video on a Social Media Platform; they must also submit the Video to Sponsor on the website (priceless.com/beyondtheropes) following the instructions in the "How to Submit Entry" set forth below in order to be entered into the Sweepstakes.
Use of the Sweepstakes Hashtags and Sweepstakes Tag and submission of your Entry at priceless.com/beyondtheropes constitutes your unconditional acceptance to these Official Rules. By using the Sweepstakes Hashtags and Sweepstakes Tag in connection with your post, you are acknowledging and agreeing that Sponsor has the right to stream your post through the applicable Social Media Platform's API or otherwise use your post as set forth herein.
Video Entry Requirements:

• Video and its contents must not infringe any third-party rights;
• Video must be no more than thirty (30) seconds in length (or the maximum video length set forth by the applicable Social Media Platform), must include the Sweepstakes Hashtags and Sweepstakes Tag as an overlay disclosure on the Video and in the post copy and must be in the English language;
• Video may not include any music, including, but not limited to, any music and/or lyrics written or performed by a third party;
• Eligible Entrant must appear in the Video. Eligible Entrant should not engage any third party to film his/her Video;
• Eligible Entrant should not use artificial intelligence ("AI") tools in connection with the creation/development of their Video; and
• Video must comply with any terms or guidelines posted on the Social Media Platform in which you post your Entry. For Eligible Entrants that post their Entry on YouTube, you must comply with the YouTube Community Guidelines, available at https://www.youtube.com/howyoutubeworks/policies/community-guidelines/.

In addition to that described above, all Videos must further meet the following criteria, as determined within Sponsor's final sole discretion:

• You must own all rights in the Video and have the right to grant Sponsor a license to use the Video (including any material embodied in the Video);
• Videos that contain or otherwise infringe on any third-party names, trademarks, music, identities, copyrighted or patented material, and/or other material subject to third party rights are prohibited);
• Videos that include any reference to any patents and/or trade secrets of Sponsor or Released Parties and/or its competitors are prohibited;
• Videos cannot: (i) contain content that is sexually explicit or suggestive; (ii) be unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group; (iii) contain profanities, be pornographic in nature or contain references to nudity; or (iv) make reference to or encourage any dangerous or illegal activity; or (v) contain any inappropriate content;
• Videos cannot promote alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing), or promote any activities that may appear unsafe or dangerous, or discuss any particular religious or political agenda or message;
• Videos cannot contain disparaging remarks, defame, misrepresent, invade the publicity, third party rights and/or the privacy rights of Sponsor, Released Parties, their products or any trademarks or other intellectual property they own, other products or companies, or any person, living or deceased. Sponsor does not permit the infringement of others' rights and any use of materials not original to the Eligible Entrant (except copyrighted materials owned by Sponsor) is grounds for disqualification from the Sweepstakes. Do not copy words or lines of copy from your favorite movie, television program, song or book or include materials or trademarks belonging to any third parties or incorporate the names of any party other than yourself unless you have obtained all rights necessary to permit you to use same in connection with your Entry and grant the rights herein granted to Sponsor; the Entry cannot (in the sole discretion of Sponsor) advertise or promote any brand or product of any kind other than the Sponsor's, including, but not limited to, any of Sponsor's competitors, any of Released Parties competitors, or contain any forms of personal identification, such as license plate numbers, personal names, email addresses or street addresses. The Video cannot (in the sole discretion of Sponsor) include claims which infer superiority or other comparison to a product of a competitor;
• Entries cannot be obscene or offensive, defamatory, libelous, threatening, harassing, or endorse any form of hate or hate group;
• Videos cannot contain materials embodying the name or other indicia identifying any other person, living or dead, unless you have express permission from that person to use their name or other indicia in connection with the Sweepstakes;
• No artwork should appear in the Video unless it is an original work of the Eligible Entrant. Any artwork, murals, etc. that can be seen in Entries must be created solely by the Eligible Entrant or Eligible Entrant must be the sole owner of all copyright interests therein;
• Videos cannot contain trademarks owned by others, or advertise or promote any brand or product of any kind, or contain any personal identifiable information, such as personal names, email addresses, etc.;
• Videos cannot communicate messages inconsistent with the positive images and/or goodwill to which Released Parties associate; and Videos (including the development thereof) cannot violate any law, rule, statute, regulation, or ordinance; and
• Videos cannot be in violation of any law, statute, regulation, or ordinance or otherwise be inappropriate; all as determined by Sponsor in its sole discretion.

Sponsor reserves the right to void and disqualify any Entry not satisfying these requirements, as determined within Sponsor's final sole discretion.
By submitting an Entry, you agree that: (i) the Entry does not violate any law or regulation or any right of any third party, including those laws, regulations, and rights related to copyrights, trademarks, publicity, or privacy; (ii) you have the right to grant the rights to the Entry as provided in these Official Rules; (iii) the Entry has not been published or submitted in any other competition; (iv) the Entry is your original work; (v) the Entry has not won previous awards; (vi) you have obtained permission from any person whose name or likeness is used in the Entry; and (vii) that publication of the Entry via various media, including, without limitation, social posting, will not infringe on the rights of any third party. YOU WILL INDEMNIFY, DEFEND, AND HOLD HARMLESS RELEASED PARTIES FROM ANY CLAIMS TO THE CONTRARY. Further, by submitting an Entry, you grant permission and a perpetual, non-exclusive, royalty-free, no-cost, worldwide, irrevocable right and license for the Released Parties to publish, post, adapt, edit, display, exploit and/or modify or otherwise use the Entry and all names, images, text, and materials included or depicted therein, in whole or in part, in any media, manner or medium now or hereafter known or devised (including, without limitation, CDs, streaming media, film, television, videocassettes, print, interactive devices, mobile media, Internet and on-line systems), throughout the universe and in any and all languages, including, without limitation, the right to display, reproduce, recreate, record, perform, exhibit, distribute, copy, edit, change, modify, add to, subtract from, re-title and adapt the same, to combine it with other material and otherwise use and exploit it without having to give any compensation or attribution to Eligible Entrants or any third party, except for the awarding of the prize to the Grand Prize winner in this Sweepstakes. Eligible Entrants agree that during the Promotion Period, they shall not make, and shall not permit, any other public use, display or distribution of their Entry, and they shall maintain all rights without encumbrances so that, if Sponsor desires, Eligible Entrants can assign all rights in and to their Entry if selected as the winner. Sponsor, and each of its successors, assigns and licensees, will have the right to make unlimited derivative works of Entries, to assign or transfer any or all of Sponsor's granted rights and to grant unlimited, multiple-level sublicenses. Without limiting the foregoing, Sponsor will have the right to use the Entries submitted as part of the Sweepstakes, and all names, images, text and materials included or depicted therein (if any), in any merchandising, advertising, marketing, promotion or for any other commercial or non-commercial purpose. Unless prohibited by applicable law, Eligible Entrants hereby forever waive and relinquish all "moral rights (droit moral)" (or consent to the doing or omitting to do any act which would otherwise infringe the Eligible Entrant's moral rights) now or hereafter recognized in connection with Entries submitted as part of the Sweepstakes. Eligible Entrants acknowledge that as a condition of participating in the Sweepstakes and/or being selected as the winner, Sponsor may request that the Eligible Entrant's Entry, and any rights therein, be assigned to Sponsor and Eligible Entrants may be required to confirm such assignment by completing and submitting the Prize Acceptance Documents (defined below) (and any other documents reasonably required by Sponsor) or such Eligible Entrant will otherwise be disqualified from receiving his/her prize(s). Eligible Entrants must maintain the ability to assign all such rights to Sponsor free of any limitations, restrictions or third-party obligations. Eligible Entrants agree that Sponsor shall have the sole discretion in determining the extent and manner of use of Entries and are not obligated to use any Entry. Eligible Entrants agree that Sponsor, nor its agents, shall be responsible for return or preservation of the Entries submitted.
Eligible Entrant further agrees that submission of an Entry is gratuitous and made without restriction and will not place Sponsor and/or Released Parties under any obligation and that Sponsor and Released Parties are free to discuss or otherwise disclose the ideas contained in the Entry on a non-confidential basis to anyone or otherwise use the ideas without any additional compensation to Eligible Entrant. Each Eligible Entrant acknowledges that Entries are not being submitted in confidence or in trust to Sponsor and that no confidential or fiduciary relationship is intended or created. Each Eligible Entrant acknowledges that Sponsor and other entrants may have created ideas and concepts contained in their Entries that may have familiarities or similarities to his/her own Entry, and that he/she will not be entitled to any compensation or right to negotiate with the Released Parties because of these familiarities or similarities. Notwithstanding any custom and practice in the industry to pay an individual for an idea (if any), nothing herein shall create an implied or express contract to compensate Eligible Entrants for their Entry and there is no obligation for any Released Party to pay or otherwise compensate Eligible Entrants for any of their ideas or materials in any communications with Sponsor, whatsoever. Eligible Entrant acknowledges that, by acceptance of its Entry, Released Parties do not waive any rights to use similar or related ideas previously known to Released Parties, or developed by its employees, or obtained from sources other than Eligible Entrant. Sponsor and/or Released Parties reserve the right to screen Entries, but may post Entries without editing or other prior review. Eligible Entrant acknowledges that Sponsor and/or Released Parties have no obligation to use or post any Entry that he/she submits. For all social media postings of Entries made by Sponsor and/or Released Parties, posting of such content is for entertainment purposes only and does not relate to winner selection. Eligible Entrant, by participating in the Sweepstakes, except where legally prohibited, grants permission for Sponsor and its designees to use his/her name, address (city and state), photograph, voice, and/or other likeness and prize information for advertising, trade, and promotional purposes without further compensation, in all media now known or hereafter discovered, worldwide in perpetuity, without notice or review or approval. Sponsor reserves the right to request from Eligible Entrant at any time proof that Eligible Entrant maintains all necessary rights in their Entry in order to grant Sponsor the rights required herein in a form acceptable to Sponsor. Failure to provide such proof may lead to, among other things, the Eligible Entrant being disqualified from the Sweepstakes.
No correspondence about Entries will be entered into, nor will Entries be acknowledged or returned. Incomplete Entries, Entries not responding to the theme, Entries that do not comply with the Entry Requirements, and/or Entries which may contain obscene, offensive, or any images or language communicating messages inconsistent with the positive images to which Sponsor and/or Released Parties wishes to associate will be void. Entries whose work includes the names, images, or likenesses of third parties or contains elements not owned by the Eligible Entrant (such as, but not limited to, depictions of persons, landmarks, trademarks, or logos) must be able to provide legal releases for such use including Released Parties' use of such Entry, in a form satisfactory to Sponsor, upon request. Proof of Entry does not constitute Sponsor's proof of receipt. Entries that contain or otherwise infringe on any third-party names, trademarks, music, identities, copyrighted material, and/or other material subject to third party rights are prohibited. Subject to these Official Rules and except where otherwise prohibited by law, all winning Entries are deemed to be assigned to Sponsor and will not be returned. If required information is not included, Entry will be disqualified.
If the Entry contains any material or elements that are not owned by the Eligible Entrant, and/or which are subject to the rights of third parties, the Eligible Entrant is responsible for obtaining, prior to submission of the Entry, any and all releases and consents necessary to permit the use and exhibition of the Entry by Sponsor in the manner set forth in these Official Rules. Sponsor reserves the right to request proof of these permissions in a form acceptable to Sponsor from any Eligible Entrant at any time. Failure to provide such proof may, if requested, render Entry null and void. By submitting an Entry, Eligible Entrant hereby grants the Released Parties, without any limitation of any other rights granted herein, permission for the Entry to be posted online and/or in social media as determined by Sponsor. Eligible Entrant agrees that Released Parties are not responsible for any unauthorized use of Entries by third parties. Released Parties do not guarantee the posting of any Entry and may remove a posted Entry at any time. Eligible Entrants agree that they will not use the Entry for any other purpose, including, without limitation, posting the Entry to any online social networks except as set forth in the "How to Submit Entry" section below, without the express consent of Sponsor in each instance.
By submitting an Entry, Eligible Entrant acknowledges and agrees that Sponsor may obtain many Entries under this Sweepstakes and that such Entries may be similar or identical in theme, idea, format or other respects to others submitted under this Sweepstakes and/or other promotions staged and/or sponsored by the Sponsor, or to other ideas conceived by or provided to Sponsor and Eligible Entrant waives any and all claims Eligible Entrant may have had, may have, and/or may have in the future, that any Entry and/or other works accepted, reviewed and/or used by the Sponsor (or its designees) may be similar to his/her Entry. Except where prohibited by law, each Eligible Entrant acknowledges and agrees that the Sponsor does not have now, nor shall it have in the future, any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of any copyright in and to Eligible Entrant's Entry.
HOW TO SUBMIT AN ENTRY: To submit your Entry, during the Promotion Period, visit priceless.com/beyondtheropes, follow the instructions to complete the entry form, including your name, email address, phone number, a direct link to your Video, and agree to the agreements presented and click submit.
Incomplete Entries and/or Entries containing inaccurate entrant information will be disqualified at Sponsor's sole discretion. Complete Entry must be received by 11:59:59 p.m. ET on 6/27/25 to be eligible. The use of script, macro or any other device to automate or subvert the entry process is prohibited and all such Entries and Entries made by any other means which subvert the entry process will be void. In the case of a dispute as to the Eligible Entrant who submitted an Entry, Entry will be deemed made by the person named on the entry form (regardless of whether that is the name of the authorized account holder of the email address from which said Entry was submitted) and he/she must comply with these Official Rules. Other than as otherwise specified herein, neither Sponsor, nor anyone acting on its behalf, will enter into any communications with any Eligible Entrant regarding this Sweepstakes (except for the purposes of notifying the potential winner) or acknowledge any Entry (or portion thereof) received. Any Entry not meeting all Entry requirements stated herein will be void.
SWEEPSTAKES TERMS: Your participation by your Entry constitutes your consent to participate in this Sweepstakes and consent for Released Parties to obtain, use, and share your Entry, name, username, address, email and other details (collectively, "Sweepstakes Data") for Sweepstakes administration purposes. Released Parties are not responsible for late, lost, stolen, illegible, incomplete, misdirected, delayed, garbled, damaged, inaccurate or undelivered emails, tweets, questions, answers, mentions, follow requests, direct messages, Entries, theft, destruction or unauthorized access to, or alteration of Sweepstakes Data, defect/delay in transmission or communication, including, but not limited to, recording failures, or for telephonic, human or computer failures, problems or errors, interruptions in service leveraged to create an Entry, whether due to system upgrades, repairs, modifications or other causes, defect or delay in transmission, connections, satellite, network, cable, Internet Service Provider (ISP), phones, phone lines or telephone systems, recording/filming systems, electronic equipment, computer hardware or software failures, inaccurate Entry information, traffic congestion on the internet, technical or mechanical malfunctions, or other malfunctions, errors or delays, whether caused by equipment, programming, human error, acts of God or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors which may occur in connection with the administration of the Sweepstakes, the processing of direct messages, tweets, questions, answers, mentions, Entries, Sweepstakes Data processing, the announcement of the prize and winner, the cancellation or postponement of the Sweepstakes, for any injury or damage to Eligible Entrant's or any other person's computer or other device relating to or resulting from participation in this Sweepstakes, or for printing, typographical, human or other errors appearing in these Official Rules, in any Sweepstakes advertisements or other Sweepstakes-related materials. Use of any device to automate or subvert entry is prohibited and any Entries received by such means will be void. Sponsor may void Entries of any entrant who Sponsor believes has attempted to tamper with or impair Sweepstakes administration, security, fairness, or proper play. No software-generated, robotic, programmed, script, macro or other automated Entries are permitted, and any Entries received by such means will be void. The Released Parties are not responsible for any changes or unavailability of the Social Media Platform used for purposes of administering this Sweepstakes that may interfere with the Sweepstakes (including any limitations, any restrictions, or any conditions on Sponsor's ability to use the Social Media Platform for the Sweepstakes as set forth herein that are not acceptable to Sponsor) or ability of Eligible Entrant to timely enter, receive notices or communicate with Sponsor, in which case Sponsor, in its sole discretion, may terminate or modify the Sweepstakes.
DRAWINGS/ODDS: One (1) potential Grand Prize winner will be randomly selected on/about 6/27/25 from among all eligible Entries received during the Promotion Period. The random drawing will be conducted by Administrator, an independent agency whose decisions will be final and binding in all matters relating to this Sweepstakes. By participating, Eligible Entrants agree to the terms of these Official Rules and to the decisions of the Sponsor, which will be final and binding in all matters relating to the Sweepstakes. Odds of winning will depend on the total number of Entries received during the Promotion Period. Sponsor shall have the right to announce the winner on its social feeds (X, Instagram, TikTok, YouTube or otherwise), in its sole discretion.
GRAND PRIZE WINNER NOTIFICATION: The potential Grand Prize winner (subject to verification of eligibility and compliance with the terms of these Official Rules) will be contacted by email and/or telephone on the drawing date designated above. Potential Grand Prize winner will be required to execute and return an Affidavit of Eligibility and a Release of Liability and (where legal) a Publicity Release (collectively, "Prize Acceptance Documents") within three (3) days of date of issuance of notification. Grand Prize winner's guest must be legal age of majority in their state of residence and will also be required to sign and return a Prize Acceptance Document prior to the issuance of travel documents. In the event of noncompliance with these Official Rules, the determination that the potential Grand Prize winner is not eligible to participate, or if the potential Grand Prize winner fails to properly complete and submit the above-described Prize Acceptance Documents, Sponsor may disqualify such potential Grand Prize winner and randomly select and notify an alternate potential Grand Prize winner. If the potential winner cannot be contacted, fails to sign and return the Prize Acceptance Documents within the required period of time, or prize is returned as undeliverable, the potential winner forfeits the prize. Should the potential Grand Prize winner decide to decline his/her prize for any reason whatsoever or not respond to the prize notification by the applicable response deadline, Sponsor shall have no further obligation to that potential Grand Prize winner and an alternate Grand Prize winner may be selected from among all remaining eligible Sweepstakes entries received. Grand Prize winner may also be required to submit to a confidential criminal check, as well as a social media review, to confirm eligibility & ensure that participation in the Sweepstakes and use of themselves in advertising, promotion or publicity, will not pose a security threat or bring the Released Parties into public disrepute, contempt, scandal, or ridicule, or reflect unfavorably on the Released Parties as determined by Sponsor or the other Released Parties in their sole discretion, and in such event, may result in disqualification. Noncompliance with any of the foregoing, failure to respond within the designated timeframe, the inability to contact the potential Grand Prize winner within a reasonable time period, or any notification being returned as undeliverable may result in disqualification and, at Sponsor's discretion and time permitting, an alternate winner may be randomly selected and notified. Grand Prize winner status is subject to verification of eligibility and compliance with these Official Rules. The Released Parties are not responsible for electronic communications that are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in potential Grand Prize winner's email account to receive email messages. Should the potential Grand Prize winner decide to decline his/her prize for any reason whatsoever or not respond to the prize notification by the applicable response deadline, Sponsor shall have no further obligation to that potential Grand Prize winner and an alternate Grand Prize winner may be selected based on the selection process above, if time permits.
ONE (1) GRAND PRIZE: Grand Prize winner will receive a five (5)-night trip to Atlanta, Georgia from 8/20-8/25/25 for the Grand Prize winner and a guest to attend the TOUR Championship and a private golf lesson (for Grand Prize winner only) from a golf pro (hereafter, "Grand Prize" or "Trip"). If, for whatever reason, the event associated with the prize is cancelled after the prize is awarded, Sponsor's liability for the prize is limited only to the non-event portions of the prize. No compensation will be paid in lieu of the cancelled event. The tickets to the event are subject in all respect to the terms and conditions set forth on the tickets and any requirements of the facility hosting the event. Seat locations (if applicable) will be determined by Sponsor. The winner is strictly prohibited from selling, auctioning, trading or otherwise transferring the tickets unless Sponsor consents in writing. In the event a prize winner (and/or his or her companion (if applicable)) engage in behavior that (as determined by Sponsor or any prize provider in its or their sole and absolute discretion) is obnoxious, inappropriate, or threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Sponsor reserves the right to terminate the applicable experience early. Decisions regarding the conduct of the winner and guest (if applicable) in all aspects of their participation in the prize event/activity will be in the sole discretion of Sponsor, and any of Sponsor's representatives and final and binding in all respects. Winner and guest may be removed or disqualified from participating in any aspect of the prize for any reason at any time, including, without limitation, creating an unauthorized disturbance, interruption or unnecessarily rough physical contact, creating the potential for injury or property damages, or for any unhealthy, unsafe, unlawful, or inappropriate act. If a winner or guest who, in the opinion of Sponsor or any of Sponsor's representatives, is considered a physical or mental threat to the well-being of any other individual, he/she/they may be removed from any premises relating to the prize and winner consents to such removal.
Federal, state, and local taxes and all other expenses not specified herein are winner's sole responsibility. The ARV of prize is based on available information provided to Sponsor and the value of the prize awarded to the winner will be reported for tax purposes as required by law. Grand Prize winner will be required to provide Sponsor with a valid social security number before the prize will be awarded for tax reporting purposes. An IRS Form 1099 will be issued in the name of the winner for the ARV of the prize as awarded. The Released Parties are not responsible for and will not replace any lost, mutilated or stolen prize(s) or any prize that is undeliverable or does not reach the winner because of an incorrect or changed address. If winner does not accept or use the entire prize, the unaccepted or unused part of the prize will be forfeited, and the Released Parties will have no further obligation with respect to that prize or portion of the prize. Sponsor and the applicable onsite representatives reserve the right, in their sole discretion, to remove or to deny entry to the winner and/or his/her guest who engage(s) in a non-sportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person during Trip/at any event associated with the prize. Grand Prize winner and his/her guest will be escorted out of the hotel, venue, and/or any other Trip aspect by Sponsor, the applicable onsite representatives, or their designated agent(s) for improper conduct and/or violation of federal, state or local laws (including, but not limited to, the unlawful possession, use, or distribution of illicit drugs, unlawful drug paraphernalia, and alcohol) and, in the case of any such infraction, Sponsor (and, for the avoidance of doubt, the other Released Parties) will have no further obligation to winner and winner and his/her guest will forfeit the balance of the Trip. Released Parties will not be responsible for weather conditions, Acts of God, acts of terrorism, civil disturbances, large-scale illnesses, work stoppage or any other natural disaster outside their control that may cause the cancellation or postponement of any elements of Trip. All costs and expenses associated with the acceptance and use or misuse of the prize not specified herein as being awarded, including, but not limited to, all federal, state and local taxes, additional air and ground transportation, food, beverages, souvenirs, gratuities, airline luggage charges, incidentals, upgrades, insurance, service charges and other misc. travel expenses are winner's sole responsibility. ADDITIONAL TERMS: Except as provided herein, no transfer, assignment, cash redemption or substitution of prize(s) will be permitted, except by Sponsor, at their sole discretion, due to prize unavailability or causes outside of the reasonable control of Sponsor, and then for a prize of equal or greater value. In the event that any provision of the Official Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Eligible Entrants agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. CHOICE OF LAW: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of an Eligible Entrant and the Released Parties in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the substantive laws of the State of New York, USA, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state's law.
ARBITRATION: Except where prohibited by law, as a condition of participating in this Sweepstakes, Eligible Entrant agrees that: (1) any and all disputes and causes of action arising out of or connected with this Sweepstakes, or any prize awarded, shall be resolved individually, without resort to any form of class action, and exclusively by final and binding arbitration under the rules of the American Arbitration Association and held in New York County, New York; (2) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceedings at such arbitration; and (3) judgment upon such arbitration award may be entered in any court having jurisdiction. In arbitration, there is no judge or jury and review is limited. The Sponsor agrees to pay the administrative and arbitrator's fees in order to conduct the arbitration (but specifically excluding any travel or other costs of Eligible Entrant to attend the arbitration hearing). Either party may, notwithstanding this provision, bring qualifying claims in small claims court. In the event there is a discrepancy or inconsistency between an arbitration provision contained in any Mastercard card terms and conditions, and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern and control and the discrepancy will be resolved in Sponsor's sole and absolute discretion.
